Enserv and Med-Shred Merge and Form MedServe

MedServe, Inc. Completes $12.1 Million Equity Offering To Rapidly Become Second Largest in U.S. Medical Market

HOUSTON: Two of the country’s leading providers of medical waste solutions have announced their merger. Med-Shred, Inc., and Enserv LLC, both headquartered in Houston, have combined to form MedServe. The merger creates a new broad based healthcare services corporation, MedServe, Inc., which will be led by Med-Shred Chairman and CEO, Roger Ramsey, and Enserv Chairman and CEO, Mike Fields.

Ramsey was the founder and CEO of Allied Waste Industries and co-founder of Browning Ferris Industries (BFI). Fields was the former President of BFI Medical Waste, the worldwide industry leader, prior to that company’s sale to Stericycle, Inc. in 1999.

The merger allows the companies to blend their considerable customer bases, talents, assets, and extensive market knowledge. Med-Shred offers a world class, eco-friendly mobile medical waste treatment service that transforms biohazardous wastes produced by hospitals, clinics, and doctors offices into benign, HIPAA-compliant, municipal solid waste that can be safely disposed of in any landfill. Enserv provides turnkey medical waste services and solutions to its clients, including medical waste liability management, waste minimization programs, sharps tracking and retrieval, and medical waste collection, transport, treatment, and disposal. Together, the two companies offer the healthcare industry’s most unique, flexible, and cost effective technology-based solutions to medical waste along with a strong focus on customers and local needs.

The merger was fueled by $12.1 million in new venture and institutional funding from leading funds, including Chrysalis Ventures (Louisville, Kentucky), Murphree Venture Partners (Houston, Texas), Erasmus Louisiana Growth Fund (Baton Rouge, Louisiana), Cogene Ventures (Houston, Texas), Delta Capital Management (Memphis, Tennessee), Treble Range Partners II (Birmingham, Alabama), and Treble Range Partners (Birmingham, Alabama).

According to Ramsey, MedServe’s Chairman, “Our new full service offering to our healthcare client base is the most complete in the industry, offering state of the art mobile processing technology, the nation’s preferred hospital disposable sharps management program, a national sharps mail back service, and preferred solutions for the collection, removal, and ultimate destruction of medical waste for medical centers, clinics, and smaller generators nationwide.”

Fields, MedServe’s President, adds that “Enserv was created a year ago by most of the former senior management team from BFI Medical, and since then have acquired four leading regional medical waste companies. We will continue to acquire strong regional companies as we expand our operating service footprint, which will include 22 states by the end of next month. Already, we are serving hospital sharps management customers and providing the capability of mail back to clients in all 50 states. The Company is on track to become the second largest in the industry by the end of this year.”

Dan Wilford, retired Memorial Hermann Healthcare System President and CEO, will serve as one of MedServe’s corporate directors. “It was genuinely exciting to join a company with such a powerful combination of technology, industry knowledge and experience, financial resources, and dedication to a scope and level of service to the healthcare provider that is unmatched”, Wilford added.
